1. Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of TruxlyOS, the web-based trucking management platform available at truxlyos.com (the "Service"), operated by TruxlyOS ("we", "us"). By creating an account, checking the agreement box at registration, or using the Service, you agree to these Terms and our Privacy Policy. If you are accepting on behalf of a company, you confirm you have authority to bind that company.
The Service is a business tool intended for trucking companies, carriers, and their authorized staff. You must be at least 18 years old and using the Service for business purposes.
2. The Service
TruxlyOS provides tools for managing trucking operations, including load dispatching, invoicing, driver settlements, fleet and compliance tracking, IFTA reporting, rate quoting, document generation, and integrations with third-party services such as payment processors, accounting software, and ELD providers. Features vary by subscription plan and may be added, changed, or removed as the Service evolves.
3. AI Features
Parts of the Service use artificial intelligence — for example, extracting load details from rate confirmations, suggesting drivers, generating documents (BOLs, invoices, rate confirmations), auditing loads, and quoting rates. AI features consume monthly credits included with your plan; credits reset each billing cycle and do not roll over.
Important: AI-generated output can contain errors. You are responsible for reviewing all AI-generated documents, rates, calculations, and suggestions before relying on them. TruxlyOS does not provide legal, tax, accounting, or regulatory compliance advice, and AI output does not constitute such advice.
4. Accounts
- You must provide accurate information when registering and keep it up to date.
- You are responsible for safeguarding your login credentials and for all activity under your account, including activity by team members you invite.
- You may not share accounts, resell access, or use the Service to build a competing product.
5. Free Trial
New accounts receive a 14-day free trial. A payment method is required at signup, but you are not charged during the trial. Unless you cancel before the trial ends, your subscription begins automatically at the end of the trial and your payment method is charged for the plan you selected. If your trial expires without an active subscription, access to your dashboard is suspended until you subscribe — your data is preserved.
6. Subscriptions, Billing & Plan Changes
- The Service is offered on monthly subscription plans (Starter, Pro, and Business). Current pricing and plan limits (trucks, drivers, AI credits) are shown on our pricing page and at registration.
- Subscriptions renew automatically each month and are billed in advance via our payment processor, Stripe. Prices are in USD or CAD depending on your selected country. Applicable taxes may be added.
- You may upgrade or downgrade at any time; changes take effect according to Stripe's proration or at your next billing cycle.
- We may change pricing with at least 30 days' notice; changes apply from your next renewal after the notice period.
- If a renewal payment fails, we will retry it automatically and notify you. Continued non-payment results in suspension of access and, ultimately, cancellation of the subscription.
7. Cancellation & No-Refund Policy
You can cancel anytime. Payments are non-refundable.
- You may cancel your subscription at any time from your billing settings, without penalty and without contacting support.
- When you cancel, your subscription remains active until the end of the current billing period, and you keep full access until then. You will not be charged again after cancellation.
- All fees are non-refundable. We do not provide refunds or credits for partial billing periods, unused time, unused AI credits, or accounts closed mid-cycle, except where required by applicable law.
- Cancelling during the free trial means you are never charged.
8. Your Data
- You own your data. Loads, customers, drivers, financial records, and documents you enter into the Service remain yours. You grant us a limited license to host and process that data solely to provide the Service.
- You are responsible for the accuracy and legality of the data you enter, including having the right to enter personal information about your drivers, employees, and customers.
- You can export your data (CSV and printable reports) at any time while your account is active. We recommend exporting before cancelling.
- After account termination, we delete or anonymize your data within a reasonable period (normally 30 days), except where retention is required by law or for backups that expire on their own schedule.
9. Acceptable Use
You agree not to: use the Service for unlawful purposes; upload malicious code; attempt to access other customers' data; probe or disrupt the Service's infrastructure; use automated scraping against the Service; or send spam through Service features (such as invoice or report emails).
10. Third-Party Services
The Service integrates with third parties — including Stripe (payments), QuickBooks (accounting), ELD providers such as Samsara and Motive (telematics), and email delivery providers. Your use of those services is governed by their own terms. We are not responsible for third-party services, their availability, or the accuracy of data they provide (for example, ELD hours-of-service data).
11. Availability & Disclaimers
We work to keep the Service available and reliable, but it is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate. You remain responsible for your regulatory compliance, including DOT, FMCSA, CRA/IRS, and IFTA obligations.
12. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising from your use of the Service. Our total aggregate liability for any claim relating to the Service is limited to the amounts you paid us in the 12 months before the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your data, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.
14. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate your account for material breach of these Terms, non-payment, or unlawful use, with notice where practicable. Sections that by their nature should survive termination (including Sections 7, 8, 11, 12, and 13) survive.
15. Changes to these Terms
We may update these Terms from time to time. For material changes we will notify you by email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law rules, and disputes are subject to the exclusive jurisdiction of the courts located in Ontario.
